Anthropic, PBC submitted a confidential draft Form S-1 to the SEC on June 1, giving the company the option to go public once regulators complete their review. The filing does not set a share count or price, and the company noted the offering remains subject to market conditions. No timeline has been disclosed.

The filing comes four days after the company closed a $65 billion Series H at a $965 billion post-money valuation, led by Altimeter Capital, Dragoneer, Greenoaks, and Sequoia Capital. Alphabet (NASDAQ:GOOG) and Amazon (NASDAQ:AMZN) are among Anthropic’s existing strategic investors. That puts Anthropic just short of a $1 trillion valuation before it has sold a single public share.

Anthropic’s S-1 follows SpaceX, which filed publicly with the SEC in late May. OpenAI is also preparing to file confidentially for a U.S. initial public offering in the coming weeks. All three companies could be valued at more than $1 trillion at listing, making this one of the most concentrated windows of landmark IPO activity in years.
