Alphabet (NASDAQ:GOOGL), Google’s search, cloud and artificial-intelligence empire, priced an eye-popping $84.75 billion capital package in June. But Wednesday delivered a reality check. The stock dropped 1.7% to $341.22, leaving it 34.53% above its $253.64 GF Value estimate. That premium says investors are already paying heavily for Alphabet’s AI promise.

The SEC filing cuts through the giant headline. The package includes $18 billion of common stock, $16.75 billion of mandatory convertible preferred securities and a $10 billion Berkshire Hathaway placement. Alphabet could raise another $40 billion through an at-the-market program, but that portion is aimed mainly at covering tax obligations linked to employee equity awards.

That changes the investment math. The ATM program represents roughly 47% of the total package, meaning nowhere near the entire $84.75 billion is a direct AI-infrastructure bet. Alphabet’s second-quarter revenue jumped 24% to $119.8 billion, so the growth engine is firing. Now comes the expensive test: can Alphabet turn its AI spending into returns quickly enough to outrun dilution and justify a stock already trading well above GF Value?
